Terms of Service

1. Acceptance of Terms

By accessing or using Underwritr (“the Service”), provided by Underwritr, Inc. (“we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Underwritr is a software-as-a-service platform that provides multifamily real estate underwriting tools, including proforma modeling, scenario analysis, waterfall distribution modeling, AI-powered document parsing, renovation planning, and team collaboration features.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account.
• You must be at least 18 years old to use the Service.

4. Subscription Plans and Payment

4.1 Plans

The Service is offered under multiple subscription tiers (Starter, Pro, and Team) with varying features and limitations as described on our pricing page. We reserve the right to modify plan features and pricing with reasonable notice.

4.2 Billing

• Paid subscriptions are billed in advance on a monthly or annual basis.
• All fees are non-refundable except as expressly stated in these Terms or required by law.
• We may change pricing with 30 days' prior notice. Continued use after the change constitutes acceptance.

4.3 Free Trial

We may offer free trials for paid plans. At the end of a free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial period ends. No credit card is required to start a free trial.

5. Your Data

5.1 Ownership

You retain all ownership rights to the data, documents, and content you upload or input into the Service (“Your Data”). We do not claim any ownership over Your Data.

5.2 License to Us

You grant us a limited, non-exclusive license to use, process, and store Your Data solely as necessary to provide and improve the Service. This includes processing uploaded documents through our AI systems for data extraction purposes.

5.3 Data Export

You may export Your Data at any time through the Service's export features (PDF reports, data exports). Upon account termination, we will make Your Data available for export for 30 days before deletion.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to the Service, other accounts, or systems connected to the Service.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to transmit malware, viruses, or other harmful code.
• Resell, sublicense, or redistribute the Service without our prior written consent.
• Use automated means (bots, scrapers) to access the Service except through our documented APIs.
• Upload content that infringes on the intellectual property rights of others.

7. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by Underwritr, Inc. and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except for the limited right to use the Service as described herein.

8. AI Features

Certain features of the Service use artificial intelligence and machine learning, including document parsing, deal grading, and insights generation. While we strive for accuracy, AI-generated outputs may contain errors. You are responsible for reviewing and verifying all AI-generated data before relying on it for investment decisions.

9. Disclaimer of Warranties

Important

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure. The Service provides financial modeling tools for informational purposes only and does not constitute investment advice, financial advice, or a recommendation to buy or sell any property.

10. Limitation of Liability

To the maximum extent permitted by law, Underwritr, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total aggregate liability for all claims related to the Service shall not exceed the amounts you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Underwritr, Inc. from any claims, damages, losses, and expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

• You may cancel your account at any time through the Service's account settings.
• We may suspend or terminate your account if you violate these Terms or for any other reason with reasonable notice.
• Upon termination, your right to use the Service ceases immediately. Sections 5, 7, 9, 10, 11, and 13 survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and, where appropriate, sending you an email notification. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.
